Terms & Conditions

These terms apply to every Search Experts engagement. Accepting a quote means accepting this version of the terms.

1. The short version

No long-term contract. Monthly services run month to month and you can cancel with 30 days written notice. Most projects start with 50% down and the rest is due on completion. Payments are not refundable. We do the work on your quote, carefully and honestly. You give us what we need to do it. Neither of us is responsible for problems the other one causes, and search engines and AI platforms are outside both of our control.

The sections below explain each point in plain language. If anything here conflicts with a written quote you accepted, the quote wins for price and scope; these terms govern everything else.

2. Who this agreement is between

These terms are between Search Experts (“we”, “us”) and the business named on the accepted quote (“you”). Accepting a quote online, signing a proposal, or paying an invoice means you agree to these terms. The person accepting confirms they are authorized to do so for the business.

3. What we will do

We will deliver the services itemized on your accepted quote — for example SEO, AI search optimization, websites, advertising management, AI agents and automation — with professional care and current best practices.

We will keep you informed, respond within a reasonable time, protect the access and information you give us, and hand over the deliverables you have paid for.

Anything not on the quote is extra. We will quote it first and only start once you approve it in writing (email is fine).

4. What you will do

Give us timely access to the accounts we need (website, hosting, analytics, Google Business Profile, ad accounts) and timely answers and approvals. If we are waiting on you, timelines move but fees do not pause.

Only give us content, logos, images and claims that are accurate, legal, and yours to use.

Keep your own business information (prices, hours, licenses, service claims) accurate, and follow the laws and platform rules that apply to your business.

Pay invoices on time.

5. Payment

Most projects (such as websites) require 50% down to start. The remaining balance is due on completion, before launch or handover.

Monthly services are billed in advance on your billing date and charged automatically to the payment method you provide. Setup fees are billed at the start.

Advertising budgets are paid directly to the ad platforms and are separate from our fees. Ad management is billed as shown on your quote.

If a payment fails or is more than 10 days late, we may pause work until the account is current.

Prices do not include taxes or third-party costs (hosting, software, stock media, platform subscriptions) unless your quote says so.

6. No refunds

All payments are final and non-refundable, for any reason. This includes deposits, setup fees, monthly fees and completed milestones. We reserve time and start work as soon as you pay, so we cannot give money back.

What we do instead: if you are unhappy, tell us. We will work with you in good faith to fix it within the scope you paid for.

7. Cancelling

There is no long-term commitment. Either of us can cancel monthly services with at least 30 days written notice before the next billing date. If notice arrives with less than 30 days to go, the next billing cycle is still billed and worked, and service ends after it.

Projects that have started cannot be cancelled for a refund. If you stop a project partway, we will deliver the work completed so far once any balance owed for it is paid.

8. Results are not guaranteed

Google, Bing, ChatGPT, Perplexity, AI Overviews, and ad platforms are independent companies. They decide rankings, answers, citations and ad delivery, and they change their systems without notice.

Because of that, we do not promise specific rankings, AI mentions, traffic, leads, sales or revenue. We promise to do the work on your quote, and do it well. Past results we share are examples, not predictions.

9. Who owns what

Once paid in full, you own the final website, copy, images and creative we make specifically for you, and your accounts, domain and data always stay yours.

We keep ownership of our own tools, templates, code libraries, processes, prompts and know-how. You may keep using anything of ours that is built into your deliverables.

We will not use your confidential information in marketing. We may mention your business name as a client unless you ask us not to.

10. Confidentiality and data

Each of us keeps the other's private business information confidential and uses it only for this work. We handle passwords and data with reasonable care and never sell your data.

You are responsible for your own website privacy notices and customer consents.

11. Each side is responsible for its own actions

You will protect us (defend, indemnify and hold harmless) against claims, fines and costs that come from your business, products or services, content or materials you gave us, your accounts, or your breaking the law or these terms.

We will protect you in the same way against claims that come from our own negligence or misconduct, or from work we created infringing someone else's intellectual property.

Each side will tell the other promptly about a claim and cooperate in handling it.

12. Limits on liability (for both of us)

Marketing results depend on many things neither of us controls. So, for both sides: neither of us is liable for lost profits, lost revenue, lost data, lost business, or other indirect or consequential damages — including a claim that marketing work harmed a business, rankings or reputation.

Each side's total liability under this agreement is capped at the fees you paid us in the three months before the issue. These limits do not apply to unpaid fees, the protections in section 11, or intentional misconduct.

Services are provided as described on your quote; beyond what these terms say, neither side makes other warranties.

13. Third-party platforms

Our work relies on outside services such as Google, Microsoft, Meta, OpenAI, hosting companies and software tools. We are not responsible for their outages, price or policy changes, account suspensions or algorithm updates, and neither are you.

14. Ending for cause

Either side can end the agreement right away if the other seriously breaks these terms and does not fix it within 10 days of written notice. We may also stop immediately for non-payment, illegal activity, or abusive treatment of our team.

Money owed for work done up to the end date is still due. We will help transfer access and files so you are not left stranded.

15. Hiring our team

While we work together and for 12 months after, please do not directly hire the Search Experts staff or contractors who worked on your account without talking to us first.

16. Communication

You agree we can contact you by email, phone or text about your account, scheduling and work. You can opt out of marketing messages at any time.

17. Things outside anyone's control

Neither side is responsible for delays caused by events beyond reasonable control, such as natural disasters, internet or platform outages, cyberattacks, or government action.

18. Disagreements

If something goes wrong, let's talk first — most issues are solved with a phone call. If we can't resolve it, Utah law applies and cases go to the state or federal courts in Salt Lake County, Utah. The side that wins may recover reasonable attorney fees.

19. Changes and the rest

We may update these terms for new work. The version on your accepted quote applies to your engagement; material changes to an active engagement take effect after 30 days written notice.

We are independent businesses. If one part of these terms can't be enforced, the rest still applies. Not enforcing something once is not a waiver. Neither side can transfer this agreement without the other's written consent, except as part of selling the business.
